Orena Affiliate Program Terms & Conditions

Welcome to the Orena Affiliate Program (“Program”). These Terms and Conditions (“Terms”) govern participation in the Orena Affiliate Program. By applying to or participating in the Program, you agree to comply with these Terms.

Orena Fragrances (“Orena,” “we,” “our,” or “us”) reserves the right to modify these Terms at any time.

1. Program Eligibility

To participate in the Program, you must:

Be at least 18 years of age.
Provide accurate and complete application information.
Maintain active social media accounts, websites, blogs, email lists, or other approved marketing channels.
Comply with all applicable laws, regulations, and platform policies.

Participation in the Program is subject to approval by Orena. Acceptance is not guaranteed.

Orena reserves the right to reject or remove any affiliate application at its sole discretion.

2. Affiliate Relationship

Affiliates are independent contractors and are not employees, agents, representatives, partners, or joint venture participants of Orena.

Participation in the Program does not create any employment, partnership, franchise, or agency relationship.

Affiliates are solely responsible for any taxes, fees, or obligations arising from commissions earned.

3. Affiliate Links & Discount Codes

Approved affiliates may receive:

Unique referral links
Unique discount codes
Promotional materials
Product gifting opportunities

Affiliate links and discount codes are intended solely for approved promotional use.

Affiliate links and codes may not be sold, transferred, shared, sublicensed, posted on coupon websites, or distributed through unauthorized channels.

Orena reserves the right to modify, replace, deactivate, or remove affiliate links or discount codes at any time.

4. Commission Structure

Affiliates may earn commissions on qualifying purchases made through their approved affiliate link or discount code.

Commission rates are determined by Orena and may vary by affiliate tier, promotional campaign, or special agreement.

Orena reserves the right to:

Change commission rates
Modify payout structures
Introduce tiered commission programs
Offer limited-time commission incentives

Changes may take effect immediately upon notice.

5. Qualifying Sales

Commissions are only earned on completed qualifying purchases.

A qualifying purchase must:

Be successfully processed
Be paid in full
Not be canceled
Not be refunded
Not result in a chargeback or payment dispute

Orena reserves the right to determine whether a transaction qualifies for commission.

6. Returns, Refunds & Chargebacks

No commission will be paid on:

Refunded orders
Returned orders
Partially refunded orders (commission may be adjusted proportionally)
Chargebacks
Fraudulent transactions
Orders canceled prior to fulfillment

If commissions have already been paid on such transactions, Orena reserves the right to deduct those amounts from future payouts.

7. Self-Purchases

Affiliates may not use their own affiliate links or discount codes to earn commissions on personal purchases.

Orders placed by:

The affiliate
Immediate family members
Employees
Business partners
Individuals acting on behalf of the affiliate

may be disqualified at Orena’s sole discretion.

8. Prohibited Activities

Affiliates may not:

Misrepresent Orena

Make false claims about products
Make medical claims
Make misleading performance claims
Represent themselves as employees of Orena

Engage in Spam

Including but not limited to:

Unsolicited direct messages
Unsolicited emails
Automated spam campaigns
Excessive posting in groups or communities

Use Coupon Sites

Affiliate codes may not be submitted to:

Coupon websites
Cashback websites
Browser extensions
Deal forums

without prior written approval.

Engage in Fraud

Including:

Fake orders
Fake accounts
Artificial traffic
Cookie stuffing
Incentivized purchases without approval
Manipulation of tracking systems

Any fraudulent activity will result in immediate termination.

9. FTC Compliance & Disclosure Requirements

Affiliates are responsible for complying with all applicable advertising laws and regulations.

Affiliates must clearly disclose their relationship with Orena whenever promoting products.

Examples include:

“I may earn a commission if you purchase through my link.”

Required disclosures must be clear, conspicuous, and compliant with applicable regulations.

Failure to disclose sponsorship relationships may result in termination from the Program.

10. Intellectual Property

Orena grants affiliates a limited, non-exclusive, revocable license to use approved:

Logos
Product images
Brand assets
Marketing materials

solely for participation in the Program.

Affiliates may not:

Alter logos
Create misleading brand materials
Register domains containing Orena trademarks
Create social media accounts impersonating Orena

All intellectual property remains the sole property of Orena.

11. Content Usage Rights

By participating in the Program, affiliates grant Orena a non-exclusive, worldwide, royalty-free license to repost, share, display, distribute, and use affiliate-created content featuring Orena products across Orena’s marketing channels.

This includes:

Social media
Website content
Email marketing
Paid advertising
Organic advertising
Promotional materials

Unless otherwise agreed in writing.

12. Brand Guidelines

Affiliates must represent Orena in a professional and respectful manner.

Content may not contain:

Hate speech
Harassment
Illegal activity
Violence
Discriminatory content
Sexually explicit content
Content that may damage Orena’s reputation

Orena reserves the right to require removal of content that violates brand standards.

13. Payment Schedule

Commissions are paid on a bi-weekly basis.

To be eligible for payout:

The affiliate must have a valid payment method on file.
The affiliate account must remain in good standing.
All transactions must clear applicable return and fraud review periods.

Orena reserves the right to delay payouts for fraud investigations, compliance reviews, or technical issues.

14. Taxes

Affiliates are solely responsible for:

Income taxes
Self-employment taxes
Local taxes
Any reporting obligations required by their jurisdiction

Orena may require tax documentation before issuing payments.

15. Program Modification

Orena reserves the right to:

Modify Program benefits
Modify commission rates
Modify eligibility requirements
Modify payout schedules
Add or remove affiliate tiers
Suspend or discontinue the Program

at any time without liability.

16. Termination

Orena may suspend or terminate an affiliate account at any time, with or without notice, for any reason.

Reasons may include:

Violation of these Terms
Fraudulent activity
Misrepresentation
Inappropriate conduct
Brand reputation concerns
Inactivity

Upon termination:

Affiliate links and codes may be disabled immediately.
Unpaid commissions may be forfeited if earned through prohibited activity.

17. Limitation of Liability

To the fullest extent permitted by law, Orena shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from participation in the Program.

Orena makes no guarantees regarding:

Sales volume
Earnings potential
Program availability
Website uptime

Participation is at the affiliate’s own risk.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles.

Any disputes arising from these Terms shall be resolved exclusively in the courts located in Montgomery County, Pennsylvania.

20. Promotional Code Distribution & Social Media Conduct

Affiliate discount codes are intended to be shared through the affiliate’s own approved marketing channels, including:

Personal social media accounts
Personal websites
Blogs
Email newsletters
Approved content platforms

Affiliates may not promote their affiliate code or referral link by:

Posting discount codes in the comment sections of Orena’s social media accounts
Replying to comments on Orena’s social media accounts with affiliate codes
Posting affiliate codes beneath Orena advertisements
Posting affiliate codes within Orena livestreams, broadcasts, or community groups
Posting affiliate codes in the comment sections of other creators, influencers, brands, or businesses
Posting affiliate codes in Facebook groups, Reddit communities, forums, or similar communities where promotional activity is prohibited
Engaging in repetitive, excessive, or unsolicited promotional activity

Affiliates are expected to promote Orena through original content created on their own platforms rather than through comment-based solicitation.

Any affiliate found engaging in comment spam, code spamming, unsolicited promotion, or similar behavior may have commissions reversed, affiliate privileges suspended, discount codes deactivated, or participation in the Program terminated at Orena’s sole discretion.

21. Right to Remove Affiliates for Brand Misalignment

Participation in the Program is a privilege, not a right.

Orena reserves the right to suspend, remove, reject, or terminate any affiliate, creator, ambassador, influencer, or partner at any time, with or without notice, if Orena determines that continued participation is not in the best interests of the brand.

This includes, but is not limited to:

Conduct that may negatively impact the reputation of Orena
Violations of these Terms
Fraudulent activity
Excessive customer complaints
Harassment or abusive conduct
Misrepresentation of Orena products or policies
Repeated violations of brand guidelines
Promotional practices that Orena deems inappropriate

Termination under this provision shall be at Orena’s sole discretion.

Creator Gifting & PR Program Terms

From time to time, Orena may provide complimentary products, samples, PR packages, gifts, store credit, discount codes, or other promotional items to creators, influencers, affiliates, customers, or brand partners.

Participation in any gifting, PR, seeding, or sampling initiative is subject to the following terms.

No Guaranteed Compensation

Unless otherwise agreed in writing, gifted products are provided solely for promotional consideration and do not constitute payment for services.

Receipt of gifted products does not create any obligation on the part of Orena to provide:

Monetary compensation
Future gifting opportunities
Paid partnerships
Brand ambassador agreements
Affiliate commissions beyond the Program’s stated commission structure
Exclusive relationships

No Guaranteed Deliverables

Unless otherwise agreed in writing, creators are not contractually required to publish content in exchange for gifted products.

However, Orena may consider content creation, engagement, professionalism, communication, and overall participation when determining eligibility for future gifting opportunities, campaigns, or partnerships.

Future Gifting Not Guaranteed

Participation in one gifting campaign does not guarantee eligibility for future campaigns.

Orena reserves the right to determine, at its sole discretion:

Which individuals receive gifts
How often gifts are sent
Product selection
Campaign participation
Continued eligibility

Shipping & Delivery

Creators are responsible for providing accurate shipping information.

Orena is not responsible for:

Incorrect addresses provided by recipients
Lost or stolen packages after confirmed delivery
Delivery delays caused by carriers
Customs fees, duties, taxes, or import charges for international shipments

Replacement shipments are issued solely at Orena’s discretion.

Product Availability

Products offered through gifting campaigns are subject to availability.

Orena reserves the right to substitute products, scents, collections, packaging, or promotional items without notice.

Content Usage Rights

By accepting gifted products and voluntarily creating content featuring Orena products, the creator grants Orena a non-exclusive, worldwide, perpetual, royalty-free license to use, repost, reproduce, display, distribute, edit, resize, crop, publish, and otherwise utilize such content across Orena-owned and operated marketing channels.

This may include:

Website content
Product pages
Email marketing
SMS marketing
Organic social media
Paid social advertising
Digital advertisements
Print marketing materials
Promotional campaigns

The creator retains ownership of their original content.

Creator Conduct

Creators participating in gifting campaigns are expected to engage professionally and respectfully.

Orena reserves the right to discontinue gifting opportunities for individuals who:

Engage in fraudulent activity
Abuse discount codes
Provide false information
Harass team members
Misrepresent Orena products
Violate applicable laws
Damage the reputation of Orena

Product Resale Prohibited

Gifted products may not be resold, redistributed, auctioned, or otherwise transferred for commercial gain without prior written approval from Orena.

Program Changes

Orena reserves the right to modify, suspend, or discontinue any gifting, PR, creator, influencer, or affiliate initiative at any time without notice.

Discount Code Abuse

Affiliates, creators, and recipients of gifted products may not publicly distribute one-time gift codes, store credit codes, or creator-specific promotional codes in coupon groups, coupon websites, browser extensions, deal forums, cashback sites, or similar platforms.

Orena reserves the right to revoke codes, cancel orders, reverse commissions, remove affiliate status, or terminate participation for any abuse or unauthorized distribution of promotional codes.

Gift Code & Store Credit Abuse

Gift codes, store credit codes, gifting credits, and promotional codes issued by Orena are intended solely for the recipient to whom they were assigned.

Recipients may not:

Transfer codes to another individual
Sell, trade, auction, or otherwise monetize codes
Publish codes on coupon websites
Share codes in deal groups or online communities
Post codes on social media for general public use
Use codes for commercial resale purposes
Use multiple accounts to circumvent program limitations

Orena reserves the right to:

Cancel orders associated with misuse
Disable gift codes without notice
Revoke unused store credit
Reverse affiliate commissions
Remove participants from gifting, affiliate, ambassador, creator, influencer, or PR programs

Any attempt to exploit, manipulate, or abuse the gifting program may result in permanent removal from future campaigns.
